  • Extremely Competitive Benefits Package!Job DetailsThe San Francisco or Palo Alto office has an immediate need for an experienced Corporate Paralegal with 5+ years' experience working in a law firm, corporation or professional services environment.Some of the duties required for the Corporate Paralegal position are outlined below:GENERAL CORPORATE SERVICES:
    • Coordinate orders for entity documents on file from U.S. state's Secretary of State offices and foreign countries.
    • Coordinate orders for entity status certificates or verbal confirmations from U.S. state's Secretary of State offices and foreign countries.
    • Coordinate filing name reservations, amendments, merger documents, dissolutions, foreign registration cancellations with respective Secretary of State offices.ENTITY FORMATIONS:
      • Prepare and coordinate filing Certificate of Incorporation, Certificate of Formation of Limited Liability Company or --Certificate of Limited Partnership, as applicable (domestic jurisdiction)
      • Confirm company contact information with attorney and forward to new company's named registered agent in state of formation.
      • Re Corporations: Prepare Action by Incorporator appointing directors, initial Board Action appointing officers, draft bylaws, stock certificates, stock ledger and capitalization table, as required.
      • Re Limited Liability Company: prepare draft operating agreement, per attorney request.
      • Prepare and submit IRS SS-4 ENI application, if required
      • Prepare and coordinate filing U.S. state qualification or registration (foreign jurisdiction), if required.
      • Prepare and maintain company records notebooks, if required.ENTITY DISSOLUTIONS/CANCELLATIONS:1) Corporations:
        • Prepare Action by Written Consent of Directors
        • Prepare Action by Written Consent of Shareholder(s)
        • Prepare and coordinate filing certificate of dissolution with Secretary of State
        • Prepare and coordinate filing U.S. foreign state cancellation/withdrawal documents
        • Prepare and file IRS Form 966 Corporation Dissolution notice2) Limited Liability Company:
          • Prepare Action by Written Consent of Managers, if applicable, per operating agreementPrepare Action by Written Consent of Member(s), if applicable, per operating agreement
            • Prepare and coordinate filing certificate of cancellation with Secretary of State
            • Prepare and coordinate filing respective U.S. foreign state cancellation/withdrawal documents3) Limited Partnerships:
              • Prepare Action by Written Consent of General Partner, per operating agreement
              • Prepare Action by Written Consent of Limited Partners, if applicable, per operating agreement
              • Prepare and coordinate filing certificate of cancellation with Secretary of State
              • Prepare and coordinate filing respective foreign state cancellation/withdrawal documentsUCC Liens:
                • Prepare and file UCC lien statementsLIENS AND LITIGATION DUE DILIGENCE:
                  • Coordinate U.S. state Secretary of State UCC searches
                  • Coordinate tax lien, judgments, litigation and bankruptcy searches
                  • Coordinate lien and litigation searches in foreign countries, where available
                  • Prepare search results summary chart, if requestedU.S. SECURITIES AND EXCHANGE FILINGS:
                    • Prepare and submit SEC Form ID application for SEC CIK No.
                    • Generate SEC EDGAR filing codes
                    • Prepare and coordinate filing SEC Form D
                    • Submit filed SEC Form D and acceptance notice with applicable U.S. states (blue sky filing)DOCUMENT APOSTILLE AND LEGALIZATION:
                      • Coordinate obtaining respective U.S. Secretary of State office document apostille for notarized documents and documents issued by government agencies for use in foreign countries that are members of the Hague Convention
                      • Coordinate obtaining document legalization from Embassy or Consulate in U.S. for non-Hague Convention member countiesQUALIFICATIONS
                        • Successful candidates will possess superior analytical and reasoning abilities along with strong written and verbal communication skills.
                        • Must be able to work independently and in a group environment across multiple offices.
                        • Excellent organizational skills is critical for this position.
                        • Must be detail oriented, proactive, and able to handle several projects simultaneously while producing accurate work product.
                        • Must be able to work overtime as needed.EXPERIENCE
                          • BA/BS and strong computer skills required.
